By downloading, accessing, or using the TourenTech App, website, or any associated services (collectively, the “Services”), you agree to comply with and be bound by these Terms of Use (the “Terms”). Please read these Terms carefully, as they constitute a legally binding agreement between you (the “User” or “you”) and TourenTech.
If you do not agree to these Terms, you must refrain from using the Services. We may update or modify these Terms at any time at our sole discretion. We encourage you to review these Terms regularly, as continued use of the Services constitutes your acceptance of any changes. 1.1. Purpose and Scope
The TourenTech App is designed to provide a community-driven platform where users can explore, create, and share GPS-based routes and waypoints, along with accompanying content such as photographs, comments, and reviews. The App facilitates the discovery of new routes and interaction between users through shared content. These Terms govern your access to and use of the Services, including all content, functionality, and services offered via the App.
1.2. Eligibility
The TourenTech App is available only to individuals who are at least 16 years old. By using the App, you affirm that you are at least 16 years old, have the legal capacity to enter into these Terms, and agree to abide by all applicable local, national, and international laws and regulations in relation to your use of the App.
2. Registration and User Accounts
2.1. Account Creation and Maintenance
In order to access certain features of the App, you must register and create a user account (the “Account”). During registration, you will be asked to provide personal information, such as your name, email address, and a password. You agree to provide accurate, complete, and current information at all times. You may not use false information or impersonate another person or entity in connection with your Account.
2.2. Security and Responsibility
You are responsible for maintaining the confidentiality of your Account information, including your password. You agree to notify us immediately of any unauthorized use of your Account or any other security breach. Denis Bondar shall not be liable for any loss or damage arising from your failure to safeguard your Account credentials.
2.3. Multiple and Shared Accounts
You may only create and use one Account. You are prohibited from creating multiple Accounts for the purpose of circumventing account bans, restrictions, or other limitations imposed by us. Sharing your Account with another individual is strictly prohibited, and any violations of this provision may result in the suspension or termination of your Account.
2.4. Account Suspension and Termination
Denis Bondar reserves the right to suspend or terminate your Account at any time and without notice, if we believe, in our sole discretion, that you have violated these Terms or engaged in conduct that is harmful to the App, other users, or App’s interests. Upon termination, you will no longer have access to your Account, and any data or content associated with your Account may be deleted or inaccessible.
3. User-Generated Content and Conduct
3.1. Types of User-Generated Content
The App allows users to upload, submit, and share a variety of content, including but not limited to:
- GPS Routes: Routes that you have recorded or manually created.
- Waypoints: Specific points of interest or locations on a route.
- Photographs and Videos: Images or videos associated with routes, waypoints, or user activities.
- Comments and Reviews: Text-based feedback or commentary on routes, waypoints, or user experiences.
- Metadata: Information such as timestamps, geolocation, activity type, and distance traveled.
3.2. User Content Ownership and Rights
You retain ownership of any content that you create and submit through the App. By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, reproduce, distribute, publicly display, and create derivative works from your User Content. This license is solely for the purpose of operating and providing the Services to you and other users.
3.3. Responsibility for Content You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to use and share the content you upload.
- Your User Content does not infringe on the rights of any third party, including intellectual property rights, privacy rights, and publicity rights.
- Your User Content does not violate any applicable law, regulation, or community guideline set by us.
3.4. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Uploading Harmful Content: Posting content that contains malware, viruses, or any software that could harm the App’s infrastructure or other users’ devices.
- Infringing on Rights: Uploading content that infringes upon any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
- Harassment and Abuse: Engaging in abusive, harassing, threatening, or harmful behavior towards other users.
- Data Mining and Scraping: Using automated means to access, scrape, or collect information from the App for commercial purposes without explicit permission.
- Misrepresentation: Misrepresenting your identity, qualifications, or affiliations with any individual or entity.
3.5. Content Review and Moderation
We do not pre-screen User Content but reserves the right to review, edit, or remove any content that violates these Terms or is otherwise deemed inappropriate. We also reserve the right to take any action it deems necessary to protect the safety and well-being of the community, including issuing warnings, suspending or terminating accounts, or referring matters to law enforcement.
3.6. Reporting Content Violations
If you believe any content on the App violates these Terms, you may report such content by contacting us at denis@touren.tech. We will investigate all complaints and take appropriate action, but we do not guarantee that any content will be removed based solely on a user report.
4. License and Intellectual Property Rights
4.1. Ownership of TourenTech Content
All content, design elements, and software provided through the App are the property of us or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the App for personal, non-commercial purposes in accordance with these Terms.
4.2. Restrictions on Use You may not:
- Copy, modify, distribute, sell, or lease any part of the App or its content.
- Reverse-engineer or attempt to extract the source code of the App’s software.
- Use the App’s content for any purpose other than personal, non-commercial use.
4.3. User Content License
By submitting User Content, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, distribute, modify, run, copy, publicly display, translate, and create derivative works of your User Content. This license does not affect your ownership rights to the content.
5. Privacy and Data Security
5.1. Data Collection and Use
We collect personal information from Users in accordance with our Privacy Policy https://www.touren.tech/privacy-policy. This information includes, but is not limited to, registration data, activity data, and location data. By using the App, you consent to our collection and use of your information as described in the Privacy Policy.
5.2. Data Security
We implement reasonable security measures to protect your personal information. However, no method of transmission over the internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your data, we cannot guarantee its absolute security.
6. Dispute Resolution and Arbitration
6.1. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or relating to these Terms or the use of the App shall be resolved in accordance with UAE law.
6.2. Arbitration Clause
In the event of any dispute arising between you and us, the parties agree to first attempt to resolve the dispute informally through good-faith discussions. If the dispute cannot be resolved through informal discussions, it shall be referred to binding arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
7. Limitation of Liability
7.1. Limitation of Liability
To the maximum extent permitted by applicable law, Denis Bondar, its affiliates, officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use or inability to use the App or its services.
7.2. Indemnification
You agree to indemnify and hold harmless us and its affiliates from any claims, damages, or expenses (including legal fees) arising out of your use of the App, your violation of these Terms, or your violation of any rights of a third party.
8. Modification of Terms and Services
We reserve the right to modify these Terms or any service provided through the App at any time. Any changes will be posted on the App, and continued use of the App after such changes constitutes acceptance of the revised Terms.
9. General Provisions
9.1. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and us with respect to the App and supersede all prior agreements or understandings.
9.2. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
9.3. No Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or of the right to enforce it.
